SAHIYOO AUTOMOBILE DEALER POLICY

This Dealer Policy sets forth the terms and conditions governing the relationship between Sahiyoo Automotive and its authorized dealers. By entering into a dealership agreement with Sahiyoo Automotive, the dealer agrees to abide by the following policies.

Dealer Qualifications

To become an authorized dealer for Sahiyoo Automotive, the dealer must meet the following qualifications:

Possess a valid business license and necessary permits for operating an automobile dealership.

Have a suitable showroom and service facilities to display, sell, and service Sahiyoo vehicles.

Demonstrate a track record of successful automotive sales and customer service.

Meet financial stability criteria as assessed by Sahiyoo Automotive.

Dealer Responsibilities

As an authorized dealer, the dealer agrees to:

Sales and Promotion: Actively promote and sell Sahiyoo vehicles in their designated market area, adhering to Sahiyoo’s marketing and pricing guidelines.

Customer Service: Provide high-quality pre-sale and after-sale services, including warranty repairs, maintenance, and customer support.

Facility Standards: Maintain a dealership facility that meets Sahiyoo’s standards for showroom presentation, service areas, and customer comfort.

Inventory Management: Maintain an adequate level of vehicle and parts inventory to meet market demand.

Compliance: Ensure all sales and service activities comply with local laws, safety standards, and Sahiyoo’s policies.

Reporting: Submit monthly reports on sales, inventory, and customer feedback to Sahiyoo Automotive.

Sahiyoo Automotive Responsibilities

Sahiyoo Automotive will provide the following support to authorized dealers:

Brand and Product Support: Provide the dealer with brand materials, vehicle specifications, marketing collateral, and product updates.

Training: Offer training programs on product knowledge, sales techniques, and customer service.

Advertising and Promotions: Support dealers with regional and national advertising campaigns, including co-op advertising funds, where applicable.

Vehicle Supply: Ensure timely delivery of vehicles and parts as per the dealer's inventory needs.

Manufacturer’s Suggested Retail Price

Dealers must follow Sahiyoo's MSRP guidelines. Promotional discounts and price reductions are allowed only with prior approval from Sahiyoo Automotive.

Incentives and Rebates: Dealers must adhere to all manufacturer incentives and rebate programs issued by Sahiyoo. Any special promotional programs will be communicated in advance and must be executed as instructed.

Dealer Fees and Payments

Initial Dealer Fee: Dealers must pay an initial dealership fee, as agreed upon in the dealership agreement.

Vehicle Payment Terms: Payment for vehicles must be made within the terms outlined in the agreement, which may include credit terms or upfront payment, depending on the agreement.

Royalty Fees: A royalty or service fee may be applied on vehicle sales, to be paid periodically as stipulated in the agreement.

Performance Standards

Sales Targets: Dealers are expected to meet agreed-upon sales targets based on regional market conditions. Failure to meet performance targets may result in a review of the dealership's performance.

Customer Satisfaction: Dealers must maintain a high level of customer satisfaction, ensuring all customers have positive experiences with the brand. Regular customer feedback will be collected, and performance reviews will be conducted based on these insights.

Exclusivity

Territory: Dealers are granted an exclusive right to operate within a specified geographic territory, as detailed in the dealership agreement. Dealers must not operate outside of this territory unless authorized by Sahiyoo Automotive.

Non-Compete Clause: Dealers are prohibited from selling competing automotive brands within the same facility unless specifically authorized by Sahiyoo Automotive.

Term and Termination

Term of Agreement: The dealership agreement will have an initial term of [e.g., 5 years], which is renewable based on performance and mutual agreement.

Termination by Sahiyoo Automotive: Sahiyoo may terminate the agreement if the dealer fails to meet performance standards, breaches the agreement, or engages in unethical conduct.

Termination by Dealer: Dealers may terminate the agreement by providing [number of days, e.g., 90 days] written notice if Sahiyoo fails to meet its obligations or if the dealer experiences significant operational difficulties.

Dispute Resolution

Mediation: Any disputes or disagreements between Sahiyoo Automotive and the dealer should first be resolved through mediation.

Arbitration: If mediation does not resolve the issue, the dispute will be settled through binding arbitration in accordance with the rules of [arbitration body] in [location].

Miscellaneous

Confidentiality: Dealers agree to keep all confidential information, including pricing strategies, sales reports, and customer data, private and not disclose it to third parties without prior written consent from Sahiyoo Automotive.

Force Majeure: Neither party will be held liable for any failure or delay in fulfilling obligations due to events beyond their control, including but not limited to natural disasters, strikes, or governmental actions.

By signing the dealership agreement, the dealer agrees to follow all terms and conditions outlined in this Sahiyoo Automobile Dealer Policy.
